The terms governing your use of ANAFRA’s U.S. company formation and related services.

1. Who we are, and what these terms cover

ANAFRA (“ANAFRA”, “we”, “us”) provides an online platform that helps entrepreneurs form and operate a company in the United States. These Terms of Service form a binding agreement between you and ANAFRA and apply every time you access the platform, create an account, or purchase a service.

If you are entering into these terms on behalf of a company, you confirm that you are authorised to bind that company, and “you” refers to it.

2. We are not a law firm

ANAFRA is a filing and administration service. We are not a law firm, a tax advisor, or an accounting firm, and we do not provide legal, tax, or financial advice. Nothing on the platform, including the structure or state recommendation shown during the questionnaire, constitutes advice on which you should rely without your own professional counsel.

The recommendation engine applies a documented set of rules to the answers you give. It records which rules were triggered and the version of the ruleset used, so that the basis of any suggestion can be reconstructed later. It remains a suggestion.

3. Your account

You must provide accurate information, keep your credentials confidential, and tell us promptly if you suspect unauthorised access. You are responsible for activity carried out under your account.

A single account may hold several companies. You may grant other people access to a company’s workspace; such access is an application permission only and does not make that person an owner, member, or officer of the company.

4. Identity verification

United States and international rules require us to identify the beneficial owners of the companies we help form. Before a filing proceeds, you must supply the requested identity information and supporting documents for each beneficial owner.

We may suspend or decline a service where verification cannot be completed, where the information provided is inconsistent, or where we are required to do so by law. Where we decline for these reasons, we refund the ANAFRA service fee for work not yet performed; government fees already paid to a state are not recoverable.

5. Orders, pricing and payment

Before payment, we show you a full order summary: the entity type, the state, the government filing fees, the ANAFRA service fees, any options you selected, and the total. Government fees and ANAFRA fees are always presented separately, because they are not the same thing: government fees are collected on behalf of a state authority and passed on to it.

The amount shown at checkout is the amount recorded on your order. Payment is processed by a third-party payment provider; we never receive or store your full card details. An order is only transmitted to the formation process after the provider confirms payment to our servers.

Prices may change. A change never affects an order already placed: each order records the version of the price list applied to it.

6. Subscriptions and renewals

Some services, registered agent, business address, compliance monitoring, are recurring. They renew automatically at the end of each period at the rate then in force, which we communicate before renewal.

You may cancel a subscription at any time from your account. Cancellation takes effect at the end of the paid period; it does not refund the period in progress. Cancelling a registered agent or business address may put your company out of good standing with its state of registration : that consequence is yours to manage.

7. What we do, and what depends on third parties

We prepare and submit filings, request an EIN from the IRS where you have ordered one, provide or arrange a registered agent and business address, and make the resulting documents available in your workspace.

We do not control the state authorities, the IRS, or any bank. Processing times are indicative and come from the authority concerned. We cannot guarantee that a name will be accepted, that an EIN will be issued within a given period, or that a bank will open an account. Banking assistance means preparing and introducing your application; the decision belongs to the bank.

8. Changes to a registered company

While your company is still a draft, before payment, you can edit its details freely. Once it is registered, legal details such as the company name, its members, its address, or its entity type can no longer be changed directly: amending them means filing an amendment with the state, with its own fees and delays.

Such changes therefore go through a change request, which we review. Approving a request means the process is accepted, not that the change has been made; it takes effect only once the filing with the state has actually been completed.

9. Your obligations

You agree not to use the platform:

  • to form a company for an unlawful purpose, or to conceal the identity of its true owners;
  • to provide false, altered, or third-party identity documents;
  • to evade sanctions, tax obligations, or reporting duties applicable to you;
  • to attempt to access another customer’s data, or to disrupt the service.

10. Liability

We provide the platform with reasonable skill and care. To the extent permitted by law, our total liability arising from or connected to the services is limited to the fees you paid to ANAFRA for the service concerned in the twelve months preceding the event. We are not liable for indirect or consequential loss, including loss of profit, business, or opportunity.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

11. Suspension and termination

You may close your account at any time. We may suspend or terminate access where you breach these terms, where identity verification fails, or where we are legally required to.

Closing an account does not erase records we are required to keep : filings, invoices, identity verification records, and audit trails are retained for the periods set by the applicable law.

12. Changes to these terms

We may update these terms. We will publish the new version with its date and, where the change is material, notify you by email before it takes effect. Continuing to use the platform after that date means you accept the updated terms.

13. Governing law

These terms are governed by the laws of [jurisdiction to be confirmed], and the courts of [jurisdiction to be confirmed] have exclusive jurisdiction, without prejudice to any mandatory consumer protection rules of your country of residence.
